Modine delivered a quarter marked by accelerating transformation and strong performance in its Climate Solutions segment, offset by continued end market softness in Performance Technologies and elevated investment spending. The company announced plans to spin off its Performance Technologies segment and combine it with Gentherm in a transaction that values the business at approximately $1 billion, or 6.8 times trailing EBITDA. Modine will receive about $210 million in cash, and shareholders will own 40 percent of the combined entity through a tax-free distribution. This move further advances Modine’s strategy of concentrating on higher-margin, higher-growth thermal management businesses while allowing shareholders to retain exposure to potential recovery and synergies in Performance Technologies. Operationally, Climate Solutions was the primary growth engine. Segment revenue increased 51 percent year over year, including 36 percent organic growth, driven largely by a 78 percent increase in data center sales.
