Badger Meter entered a new phase in April 2026 when it announced a definitive agreement to acquire U.K.-based UDlive for $100 million, funded with cash on hand plus contingent consideration. The timing matters. The company had just reported a soft first quarter, with revenue down 9% year over year to $202 million as large AMI deployments normalized and short-cycle orders came in below internal expectations. Even so, management emphasized that the weakness was tied to project pacing rather than any structural deterioration in demand, pricing discipline, or competitive position. Against that backdrop, the UDlive transaction stands out as a strategic move rather than a defensive one. UDlive generated roughly $22 million in trailing 12-month revenue through February 2026 and was already operating profitably, with management expecting the deal to be accretive to earnings in year one.
