Merlin Autonomous Aviation: Large-Aircraft Pivot Versus Cash Burn

Merlin, Inc. [NasdaqGM:MRLN] is reaching an important point in its autonomous-flight story. The Merlin Autonomous Aviation strategy centers on turning increasingly sophisticated flight autonomy into commercially deployable systems. Its Merlin Pilot platform is designed to perform functions traditionally handled by human pilots, support reduced-crew or unmanned operations, and work across multiple aircraft types.

September sharpened the debate. On September 9, Merlin withdrew its small-aircraft Supplemental Type Certificate application with New Zealand’s aviation regulator and said it would refocus its civil certification strategy on large aircraft. Soon afterward, Merlin demonstrated autonomous takeoff and landing, AI-driven air traffic control communications and dynamic flight replanning through Project NEXUS.

That creates the central question: is Merlin retreating from commercialization, or deliberately moving toward a larger opportunity?

The financial picture makes that question more urgent. Merlin generated only $3.2 million of revenue during the first six months of 2026 while reporting a $60.5 million operating loss. It ended June with roughly $184 million of cash and short-term investments, giving it meaningful runway.

The Merlin Autonomous Aviation Small-Aircraft Withdrawal May Be A Strategic Reset

Merlin’s decision is more nuanced than a simple certification setback. The company says its New Zealand effort reached Stage of Involvement 3, while regulatory work addressed AI and machine-learning natural-language processing. That does not equal certification, but it suggests the program created knowledge that may support future applications.

More important is what Merlin is moving toward. The company now intends to target large aircraft through a phased certification strategy, partly building on experience from its C-130J defense program.

Large cargo, military and transport aircraft can offer greater value per aircraft, but they also operate within more demanding certification frameworks.

For investors, the September move should not automatically be read as a setback. Merlin may be abandoning a narrower opportunity in favor of a larger one, while increasing the execution burden required to reach commercialization.

Defense Could Become The Bridge To Commercial Scale

Merlin’s defense programs make the large-aircraft strategy more credible. They could also become one of the most important validation mechanisms for the broader Merlin Autonomous Aviation opportunity.

The most important example is its $105 million ceiling IDIQ contract tied to C-130J autonomy for U.S. Special Operations Command. Merlin is the prime contractor and is working on integrating autonomous capabilities into the aircraft.

The $105 million figure needs careful interpretation. It is a contract ceiling, not guaranteed backlog. Future revenue depends on funded task orders.

Merlin completed its Critical Design Review in June, with subsequent work expected to include aircraft installation and ground testing.

Defense could therefore function as a funded proving ground.

Project NEXUS reinforces that possibility through autonomous takeoff, landing, ATC communications and dynamic replanning.

The potential progression is straightforward:

Government-funded development → operational evidence → regulatory credibility → broader deployment.

Until task orders convert into larger production revenue, however, the opportunity remains strategically credible but financially unproven.

Merlin Pilot Is Advancing — But Demonstration Is Not Commercialization

Merlin Pilot is demonstrating increasingly sophisticated capabilities across the flight cycle, including takeoff, landing, navigation and interaction with air traffic control.

The ATC capability matters because autonomous aircraft must interact reliably with controllers, making natural-language processing an important operational requirement.

Yet technical capability, certification and commercial readiness are separate stages. That distinction is critical to the Merlin Autonomous Aviation investment thesis.

A working prototype can still fall short of certification or fail to deliver attractive economics for operators.

Merlin’s financial results highlight that gap. Second-quarter revenue was only $2.2 million, while adjusted EBITDA loss widened sequentially to $27.8 million from $23.3 million.

Merlin therefore remains closer to a financed development program than a scaled aerospace software business.

Investors are effectively underwriting future certification, deployment and revenue rather than current earnings.

The $184 Million Cash Position Buys Time — But Dilution Still Matters

Merlin’s strongest near-term financial advantage is liquidity.

At June 30, the company held approximately $183.6 million of cash and $321,000 of short-term investments. It also reported no debt at quarter-end.

Research and development expense reached $30.5 million in the first half, general and administrative expense was $29.7 million, and operating cash use reached $50.9 million.

The company accumulated its liquidity through significant capital raising. Merlin completed an $80 million PIPE in May, issuing 8 million common shares and warrants covering another 4 million shares.

The Series A preferred securities also matter because they carry a 12% cumulative dividend and conversion rights. Common shares outstanding reached approximately 101.1 million by August 11, compared with roughly 69.7 million at year-end 2025.

Another financing is not necessarily imminent, but every additional year before commercial scale consumes capital and can increase dilution. For Merlin Autonomous Aviation, capital efficiency could therefore become almost as important as technical execution.

What If Merlin Is Right About Large Aircraft — But Commercialization Takes Longer?

Suppose Merlin’s September decision proves strategically correct and the company concentrates resources on aircraft where autonomy can create greater economic and defense value. Its C-130J program provides an existing large-aircraft anchor.

If the strategy works, Merlin could eventually be viewed less as an experimental autonomy developer and more as an aircraft-agnostic aviation software and systems supplier.

But Merlin still lacks broad large-aircraft civil certification, scaled production economics and proven civil adoption, while the $105 million IDIQ ceiling is not guaranteed revenue.

That creates a timing problem. The technology thesis could improve while the common-equity economics deteriorate.

If production revenue remains years away, additional financing, preferred dividends and warrants could weaken common-equity economics.

That is why Merlin needs more than technical milestones.

It needs visible movement through:

demonstration → certification → funded production → repeat deployment.

If the large-aircraft strategy accelerates that progression, September could eventually look like an important strategic inflection. If it extends the commercialization timeline, financing risk could become more important than technological progress.

Valuation & Scenario Analysis

Merlin closed September 25 at $1.99 per share, implying a common market capitalization of roughly $201 million.

Traditional earnings valuation is not useful. Enterprise value also requires caution because preferred stock, cumulative dividends, warrants and conversion features complicate the capital structure. Series A preferred stock alone carried a value of approximately $162.5 million at June 30.

A scenario framework is more appropriate for valuing the Merlin Autonomous Aviation opportunity.

What Could Go Wrong?

The largest risks are certification, commercialization, government dependence and financing. Large-aircraft autonomy may require more testing than expected, demonstrations do not guarantee production orders, and the $105 million IDIQ ceiling is not guaranteed backlog.

Meanwhile, first-half operating cash use of $50.9 million and the existing preferred securities and warrants keep dilution relevant.

Merlin must ultimately prove not only that its technology works, but that it can be certified, economically integrated into aircraft and deployed at commercial scale. That remains the decisive test for Merlin Autonomous Aviation.

Merlin may be moving away from a smaller certification pathway to pursue a much larger large-aircraft market. Its defense programs provide a credible testing ground, but revenue remains small, cash burn is high and commercialization could take years.

Three developments matter most: C-130J integration and testing, measurable large-aircraft certification progress, and faster revenue growth.

Merlin may ultimately prove correct that the larger aircraft opportunity is worth pursuing.

The key question is whether commercialization can arrive before the capital requirements become too heavy for existing shareholders.
