Gold Fields’ $27 Billion Gold Grab: Why Is Northern Star Still Saying No?
Gold Fields is refusing to abandon its ambition of acquiring Australian gold mining giant Northern Star Resources, despite having its A$38.7 billion (approximately US$27 billion) takeover proposal rejected in September. CEO Mike Fraser has launched an investor outreach campaign across Australia, attempting to build support for a combination that could create the world’s second-largest gold producer. The proposed transaction has gained further attention following activist investor Elliott Management’s involvement in Northern Star, with the investment firm pushing for strategic changes and greater engagement with potential suitors. Gold Fields estimates that combining the two companies could unlock US$4–5 billion in synergies, primarily through their overlapping operations in Western Australia. However, Northern Star’s board maintains that the proposal undervalues its standalone prospects, while Gold Fields shareholders face their own concerns about acquisition costs and dilution.
