Tenax Therapeutics: Can Levosimendan Recover After LEVEL?

Then came a notable shareholder development. ADAR1 Capital Management, already a significant holder, disclosed purchases of more than 1.02 million Tenax shares between August 20 and August 24, deploying roughly $1.81 million at weighted-average prices around $1.75-$1.78. The purchases increased its common-stock position from approximately 3.83 million shares to 4.85 million shares.

The transaction does not tell investors why ADAR1 bought. It certainly does not prove the fund expects levosimendan to succeed. But the timing is important. ADAR1 committed fresh capital after LEVEL’s failure was public and only days before the August 29 European Society of Cardiology presentation, where investors expect substantially more detail on the trial’s responder population.

The central question is therefore straightforward: could ADAR1 be positioning around a regulatory salvage path that the broader market is heavily discounting?

ADAR1 Bought After The Bad News Was Already Public

What makes the ADAR1 transaction interesting is that it occurred after the clinical disappointment rather than before it.

By August 20, investors already knew LEVEL had failed its primary endpoint. They also knew the key secondary KCCQ Total Symptom Score showed essentially no placebo-adjusted separation, with a treatment difference of just 0.1 points.

ADAR1 nevertheless increased its position materially. That is economically different from simply holding through an unsuccessful trial. New capital was deployed after the market had already received the negative headline.

Still, investors should not infer more than the filings reveal. ADAR1 has not publicly explained whether it is focused on the subgroup data, regulatory optionality, Tenax’s cash position, the severity of the selloff or another factor entirely.

Its purchase is therefore best viewed as evidence of continued capital commitment, not proof that the clinical thesis has been validated.

The important question is what publicly available evidence might make continued exposure rational despite LEVEL’s failure.

The Failed Trial Contains A Responder Signal That Is Difficult To Ignore

LEVEL unequivocally failed its primary endpoint.

The study randomized 241 patients. Levosimendan patients improved their least-squares mean six-minute walk distance by 14 meters versus 10.4 meters for placebo, leaving the statistically insignificant 3.5-meter treatment difference. KCCQ also failed to distinguish the treatment group meaningfully from placebo.

Yet a striking split emerged when patients were divided by baseline disease severity.

Among patients entering LEVEL with six-minute walk distance below the 333-meter median, levosimendan produced a 26.3-meter placebo-adjusted treatment effect, with a nominal p-value of 0.0112. Above the median, the treatment difference was negative 17.6 meters.

The pattern also appeared across other measures of disease burden. Patients aged 71 or older showed a reported 27.1-meter treatment difference, while the oldest quartile above 74 showed 37.6 meters. Patients with baseline NT-proBNP above the median improved 16.7 meters relative to placebo.

There was biological support as well. Tenax reported a 49% reduction in NT-proBNP versus placebo and lower pulmonary pressures. The pulmonary-pressure treatment difference was approximately 3.5 mmHg, while patients below the 333-meter median showed a 4.9 mmHg reduction.

For Tenax Therapeutics Levosimendan, this creates a plausible hypothesis: levosimendan may have had a meaningful effect in patients with greater disease burden, while enrolling healthier patients diluted that benefit in the overall population.

But this remains a hypothesis. Management explicitly acknowledged that the subgroup p-values were nominal and not adjusted for multiple comparisons. A strong subgroup inside a failed Phase 3 trial cannot substitute automatically for prospective confirmation.

August 29 Could Determine Whether The Subgroup Story Survives Scrutiny

The August 29 ESC presentation matters because investors still lack important detail about the 333-meter subgroup.

Analysts specifically questioned whether the apparent benefit came from genuine improvement among levosimendan patients or unusual placebo behavior. Management indicated that more complete statistical and subgroup analyses were still underway.

Tenax did disclose some raw data. Among levosimendan patients below the median baseline walk distance, management reported improvements of approximately 19 meters, 21 meters and 27 meters at weeks four, eight and twelve. Placebo changes were approximately negative one meter, positive 4.8 meters and negative three meters.

That suggests the subgroup effect was not generated solely by placebo deterioration.

Still, ESC needs to answer harder questions. Are baseline characteristics balanced? Does the disease-severity relationship survive multivariable analysis? Do six-minute walk performance, NT-proBNP and pulmonary pressures move coherently within the same patients? Does the effect remain stable at alternative severity cutoffs rather than appearing uniquely around the observed median?

Most importantly, investors need to distinguish an informative prespecified subgroup from a finding strong enough to support a future registration strategy.

ESC is therefore less a celebration of LEVEL than a verification event for the salvage thesis.

LEVEL-2 & The FDA Will Decide Whether The Signal Has Economic Value

Even compelling ESC data would not resolve the regulatory question.

LEVEL-2 was already underway before LEVEL read out. The original design contemplated approximately 540 PH-HFpEF patients randomized 2:1 between TNX-103 and placebo, with change in six-minute walk distance at week 26 as the primary endpoint.

Following LEVEL, management said it does not intend to continue enrolling patients within the baseline walk-distance range it believes diluted the first study. Tenax is evaluating a lower ceiling or a broader disease-severity framework.

The company intends to request a Type C meeting with the FDA and is also seeking EMA consultation. Importantly, management has not yet determined whether LEVEL-2 can simply be amended or whether another study could be necessary.

That uncertainty is central to the valuation of Tenax Therapeutics Levosimendan.

If regulators accept a prospective enrichment strategy, much of the existing LEVEL-2 infrastructure could potentially be preserved. If FDA instead requires a substantially new confirmatory program, timelines, costs and financing requirements could increase materially.

Tenax does, however, have more financial flexibility than many small biotechnology companies facing a failed Phase 3 trial. The company reported substantial cash resources entering this period, giving management time to pursue regulatory clarification rather than being forced immediately into a distressed financing.

What If ADAR1 Is Buying Ahead Of A Regulatory Salvage Path?

This is the central hypothetical scenario.

There is no evidence that ADAR1 has publicly stated it expects FDA to accept a redesigned LEVEL-2 program. But for the recent purchase to ultimately prove well timed, several things would likely need to happen.

First, the responder signal needs to survive deeper analysis. The 26.3-meter benefit below 333 meters must prove to be part of a reproducible relationship between disease severity and drug response rather than an attractive subgroup inside a failed trial.

Second, FDA would need to consider that relationship sufficiently credible to support prospective patient enrichment.

That would not necessarily require regulators to reinterpret LEVEL as a successful pivotal study. A meaningful salvage outcome could simply involve accepting LEVEL as evidence for selecting the population that LEVEL-2 should test prospectively.

Third, that revised trial would need to replicate the signal.

That is the key distinction. LEVEL generated the hypothesis after the overall study failed. LEVEL-2 would need to demonstrate efficacy in patients selected before their outcomes are known.

The potential pathway is therefore:

ESC strengthens the responder thesis → FDA accepts an executable enrichment strategy → LEVEL-2 prospectively tests the higher-burden population → replication restores substantial value to levosimendan.

Every step carries material risk.

But that sequence explains why Tenax remains an asymmetric special situation rather than simply another failed biotechnology program.

Valuation & Scenario Analysis

Conventional revenue, EBITDA or earnings multiples are not appropriate for Tenax. The company remains a development-stage biotechnology business without an approved commercial product.

The balance sheet and probability-weighted value of Tenax Therapeutics Levosimendan are more relevant.

Tenax reported 37.42 million common shares outstanding as of late July 2026. At an August 25 closing price near $2.32, basic market capitalization was roughly $87 million.

However, investors must account for Tenax’s substantial pre-funded warrants. These instruments carry near-zero exercise prices and economically resemble common equity. Including remaining pre-funded warrants pushes the effective economic share count materially higher, meaning the simplistic argument that Tenax trades dramatically below cash overstates the apparent discount.

Downside Case

If ESC weakens the subgroup argument, FDA rejects a workable enrichment strategy or LEVEL-2 must effectively be rebuilt, levosimendan’s risk-adjusted value could decline further.

Cash is not static downside protection. Clinical development continues to consume capital, and a longer program would increase financing and dilution risk.

Base Case

FDA permits Tenax to modify LEVEL-2 around a more severely impaired population but demands rigorous prospective validation.

That would preserve levosimendan’s option value while extending the period of uncertainty. The stock would remain driven primarily by shifting probabilities of regulatory and clinical success.

Scenario Case

ESC strengthens the disease-severity relationship, regulators accept the revised strategy and LEVEL-2 eventually reproduces a clinically meaningful treatment effect.

That scenario could materially change perceptions of LEVEL from outright drug failure toward a trial that identified the wrong initial patient population.

The current evidence is insufficient to responsibly translate that possibility into a precise proprietary price target.

What Could Go Wrong?

The primary risk remains obvious: LEVEL failed its primary endpoint decisively. A p-value of 0.63 is not a near miss, and KCCQ provided virtually no placebo-adjusted benefit.

The second risk is statistical. The key responder analyses use nominal p-values and were not adjusted for multiple comparisons. Prespecification improves their credibility but does not eliminate the need for independent replication.

Third, FDA may disagree with management’s interpretation. Regulators could demand another independent trial or a development program that takes materially longer than investors currently expect.

Safety also deserves attention. Adverse events occurred in 86% of levosimendan patients versus 72% on placebo, while treatment-related adverse events and discontinuations were higher on therapy. Serious adverse-event rates were similar.

Finally, narrowing enrollment to sicker patients could improve trial efficacy while simultaneously shrinking the eventual commercial population. Tenax also remains dependent on capital markets over the longer term, making dilution relevant if development extends materially.

Conclusion & Baptista Research View

ADAR1 Capital’s approximately $1.8 million purchase after LEVEL failed is noteworthy because the fund deployed fresh capital with the negative primary endpoint already known.

But the purchase should remain the hook, not the investment thesis.

The real issue for Tenax Therapeutics Levosimendan is whether LEVEL contains enough credible evidence to support a second attempt at proving levosimendan works in a prospectively selected PH-HFpEF population.

The existing dataset keeps that possibility alive. Patients below the 333-meter baseline walk median showed a 26.3-meter treatment effect, while older patients and those with higher NT-proBNP showed directionally consistent responses. Biological measures including NT-proBNP and pulmonary pressure also improved.

Yet the central uncertainty remains unresolved. LEVEL failed overall, the subgroup statistics require caution, and FDA has not endorsed management’s proposed salvage strategy.

That makes August 29 and the subsequent FDA interaction the two most important near-term events.

At roughly $2.32 per share, Tenax is better understood as a market assigning limited value to levosimendan beyond the company’s financial resources while waiting to determine whether the program still possesses a credible regulatory pathway.

ADAR1 appears willing to own more of that uncertainty.

Whether that decision proves insightful will depend not on the Form 4 itself, but on whether the subgroup evidence survives scrutiny and can eventually be reproduced prospectively.

For now, the three variables investors should monitor are the robustness of the responder data at ESC, FDA’s view of a revised LEVEL-2 strategy, and whether the apparent treatment effect can ultimately be replicated prospectively.
